These terms govern your use of eastonconsultinghouse.com and the services provided by Easton Consulting House ("we", "us", "our"). By accessing this website or engaging us for services, you agree to these terms.
1. Introduction
Easton Consulting House is an AI implementation consultancy. These terms apply to all visitors to our website and to all clients who engage us for consulting services. Please read them carefully before proceeding.
2. Services
We provide AI implementation consulting services including:
- Custom AI chatbots
- Sales automation systems
- Agentic workflows
- Go-to-market systems
- Talent pipeline automation
- AI education programmes
We design, build, deploy, and maintain AI systems for businesses. The specific scope of services for each engagement is agreed in writing before work begins.
3. Engagement Process
Our standard engagement follows four phases:
- Discovery call — We learn about your business, goals, and current systems.
- Design phase (1-2 weeks) — We map out the solution architecture and confirm the scope.
- Build and deploy (1-2 weeks) — We build, test, and launch the system.
- Ongoing evolution (monthly retainer) — We iterate, optimise, and expand the system over time.
Scope, timeline, and pricing are agreed in writing before any work begins. Work will not commence until both parties have confirmed the agreement.
4. Client Obligations
To enable us to deliver services effectively, you agree to:
- Provide timely access to the systems, data, tools, and stakeholders required for the project
- Respond to requests, questions, and review items within reasonable timeframes
- Ensure you have the legal authority to share any data used in AI training or integration work
- Provide accurate and complete information throughout the engagement
Delays caused by failure to meet these obligations may affect timelines. We are not liable for delays resulting from insufficient client cooperation.
5. Intellectual Property
You own everything we build for you. All systems, code, workflows, and data created during your engagement transfer to you on delivery. We retain no proprietary interest in client deliverables.
We may reference your engagement in our marketing materials — including your company name, industry, and general results achieved — unless you object to this in writing. We will never share confidential details or proprietary information in any marketing context.
6. Payment Terms
- Build fees are invoiced according to the schedule agreed in your engagement letter.
- Retainer fees are invoiced monthly in advance.
- Payment is due within 14 days of the invoice date.
- Late payments accrue interest at 4% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts Act 1998.
We reserve the right to pause work on active engagements where invoices remain unpaid beyond 14 days.
7. Confidentiality
Both parties agree to keep each other's confidential information private. This includes business plans, technical systems, client data, pricing, and any information marked as confidential or that a reasonable person would consider confidential.
This obligation survives the termination of any engagement for a period of 2 years. It does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
8. Data Protection
We process personal data in accordance with our Privacy Policy and applicable UK GDPR obligations. Where we process personal data on your behalf as part of a service engagement, we act as a data processor and you act as the data controller.
A Data Processing Agreement (DPA) is available on request and will be put in place before any client personal data is processed. Contact us at hello@eastonconsulting.house to request one.
9. Limitation of Liability
Our total liability to you arising out of or in connection with these terms or any engagement — whether in contract, tort (including negligence), breach of statutory duty, or otherwise — is limited to the total fees paid by you to us in the 12 months preceding the claim.
We are not liable for any indirect, consequential, special, or punitive damages, including loss of profit, loss of revenue, loss of data, or loss of business opportunity, even if we have been advised of the possibility of such damages.
Nothing in these terms excludes or limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.
10. Termination
Either party may terminate an engagement by giving 30 days written notice. On termination:
- You will pay for all work completed up to the termination date, calculated on a pro-rata basis if necessary.
- Monthly retainers can be cancelled at the end of any billing period with written notice before the next invoice date.
- We will provide you with all deliverables completed to that point and assist with a reasonable handover.
We may terminate immediately if you breach these terms materially and fail to remedy the breach within 14 days of written notice.
11. Force Majeure
Neither party is liable for any delay or failure to perform obligations where that delay or failure results from circumstances beyond reasonable control, including (but not limited to) natural disasters, government actions, power failures, internet outages, or third-party service disruptions. The affected party must notify the other promptly and take reasonable steps to minimise the impact.
12. Governing Law
These terms and any disputes arising out of or in connection with them are governed by the laws of England and Wales. Both parties agree to submit to the exclusive jurisdiction of the courts of England and Wales.
13. Changes to Terms
We may update these terms from time to time. Updated terms will be posted on this page with a revised "last updated" date. Continued use of our website or services after changes are posted constitutes acceptance of the revised terms. If changes materially affect an ongoing engagement, we will notify you directly.
